1. Account Registration and Security

• Eligibility: You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this eligibility requirement.
• Account Creation: When creating an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
• Security Responsibilities: You are solely responsible for all activities that occur under your account. Immediately notify us at [email protected] of any unauthorized use of your account.
• Data Accuracy: While we strive for accuracy, we do not guarantee the completeness or timeliness of financial data. Market data may have delays of 15 minutes or more for certain exchanges.

2. Financial Data Disclaimer

All financial information provided through AllRates is for informational purposes only. You acknowledge and agree that:

• We are not a registered broker-dealer, investment advisor, or financial institution
• Market data may contain errors or inaccuracies despite our best efforts
• Past performance is not indicative of future results
• You should not make any financial decisions based solely on information from our Services
• We do not endorse any specific financial products, investments, or trading strategies

Risk Warning: Trading financial instruments involves substantial risk of loss and is not suitable for every investor. You could lose all or more than your initial investment. You should carefully consider your investment objectives, experience level, and risk appetite before making any trading decisions.

3. Acceptable Use Policy

You agree not to:

• Use the Services for any illegal purposes or in violation of applicable laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, crawl, or systematically extract data from our Services without written permission
• Use automated systems to access our Services in a manner that exceeds reasonable request rates
• Interfere with or disrupt the integrity or performance of our Services
• Upload or transmit any malicious code, viruses, or materials that could harm our Services

4. Intellectual Property

• Our Content: All content, features, and functionality on our Services, including but not limited to text, graphics, logos, button icons, images, audio clips, data compilations, and software, are the exclusive property of AllRates or our licensors and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
• Your License: We grant you a limited, non-exclusive, non-transferable license to access and use our Services for your personal, non-commercial use. This license does not include any resale or commercial use of our Services.
• Restrictions: You may not modify, distribute, reproduce, publicly display, or create derivative works from any content from our Services without our prior written consent.

5. Third-Party Services and Content

Our Services may contain links to third-party websites, applications, or services. We also integrate data from third-party providers including:

• Stock exchanges (NYSE, NASDAQ, etc.)
• Cryptocurrency exchanges (Binance, Coinbase, etc.)
• Commodity markets (CME, ICE, etc.)
• Financial news providers (Reuters, Bloomberg, etc.)

We do not control these third parties and are not responsible for their content, accuracy, or practices. Your interactions with third-party services are solely between you and such third parties. We encourage you to review their terms and privacy policies.

6. Limitation of Liability

To the fullest extent permitted by law, AllRates and its affiliates shall not be liable for:

• Any direct, indirect, incidental, special, consequential, or exemplary damages
• Losses resulting from trading decisions made based on our Services
• Errors or inaccuracies in financial data despite reasonable efforts to ensure accuracy
• Any unauthorized access to or use of your account or data
• Interruptions or cessation of transmission to or from our Services

Our total liability to you for any claim arising from your use of our Services shall not exceed the amount you paid us for the Services in the six (6) months prior to the event giving rise to the claim, or $100 USD if you have not paid us.

7. Payments and Subscriptions

• Free Tier: Basic features are available at no cost with limited data depth and frequency.
• Premium Subscriptions: Advanced features require a paid subscription. Fees are displayed in-app before purchase.
• Billing: Subscription fees are billed automatically at the start of each billing cycle. All fees are non-refundable except as required by law.
• Cancellation: You may cancel your subscription at any time through your device's app store settings. Cancellation will be effective at the end of your current billing cycle.

8. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason including:

• Breach of these Terms
• Unauthorized use of our Services
• Requests from law enforcement or government authorities
• Discontinuance or modification of our Services

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Modifications to Services and Terms

• Service Changes: We reserve the right to modify or discontinue our Services at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of our Services.
• Terms Updates: We may update these Terms from time to time. We will notify you of material changes via email or through a notice on our Services at least 30 days before they become effective. Your continued use of our Services after the effective date constitutes acceptance of the modified Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Karnataka, India, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or our Services shall be resolved through binding arbitration administered by the Mumbai Centre for International Arbitration (MCIA) in accordance with its rules. Arbitration shall be conducted in Bangalore, India, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

Notwithstanding the foregoing, we may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
